Terms of Service | Laneworks

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and LogiqFM LLC ("Logiq FM," "we," "us," or "our") governing your access to and use of Laneworks by Logiq FM, including all features, APIs, and related services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. Description of Service

LogiqFM LLC provides Laneworks, a cloud-based freight operating system designed for freight dispatchers and trucking operations. The Service includes load tracking and pipeline management, carrier and driver directory management, accounts receivable tracking, live GPS fleet mapping via third-party integrations, IFTA fuel tax calculation, profit analysis and revenue forecasting, compliance document monitoring, automated report generation, and carrier onboarding tools.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2. Accounts and Organizations

2.1 Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at booking@logiqfm.com of any unauthorized use of your account.

2.2 Organizations

The Service uses an organization model. When you register, a single organization account is created. All carriers, loads, drivers, invoices, and operational data belong to your organization. You may invite additional users under your organization subject to your subscription tier limits.

2.3 Eligibility

You must be at least 18 years old and legally capable of entering into a contract to use the Service. The Service is intended for business use only and is not designed for personal, family, or household purposes.

3. Subscriptions and Payment

3.1 Subscription Plans

The Service is offered on a subscription basis. Current plans include Solo ($79/month), Team ($199/month), and Agency ($399/month). Plan features, limits, and pricing are described on the billing page within the Service and may be updated with 30 days' notice.

3.2 Free Trial

We may offer a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or cancel trial offers at any time.

3.3 Billing and Payment

Subscription fees are billed in advance on a monthly basis. Payment is processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method on each billing date. All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by applicable law.

3.4 Cancellation

You may cancel your subscription at any time through the billing portal accessible from the Service. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

3.5 Late Payment and Suspension

If payment fails, we will notify you and attempt to reprocess the charge. If payment remains outstanding after 7 days, we may suspend your access to the Service. Accounts suspended for non-payment for more than 30 days may be terminated and data deleted.

3.6 Taxes

You are responsible for all taxes, levies, or duties imposed by taxing authorities on your subscription fees, excluding taxes on Logiq FM's income.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including FMCSA regulations. You agree not to:

Use the Service to facilitate any unlawful freight brokerage or transportation activity
Input false, misleading, or fraudulent carrier, driver, or load information
Attempt to gain unauthorized access to any portion of the Service or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Use automated tools, bots, or scrapers to access the Service without written permission
Transmit viruses, malware, or other harmful code through the Service
Resell, sublicense, or otherwise make the Service available to third parties without our written consent
Use the Service to store, transmit, or process data in violation of any applicable privacy law

5. Customer Data

5.1 Ownership

You retain all ownership rights to the data you input into the Service ("Customer Data"), including carrier records, load details, driver information, invoices, and financial records. You grant Logiq FM a limited, non-exclusive license to access, store, process, and display your Customer Data solely to provide and improve the Service.

5.2 Data Accuracy

You are solely responsible for the accuracy, quality, integrity, and legality of your Customer Data and the means by which you obtained it. Logiq FM does not verify the accuracy of any carrier credentials, FMCSA authority, insurance certificates, or other compliance documentation you input into the Service.

5.3 Data Export and Portability

You may export your Customer Data at any time through the Service's report and export features. Upon termination of your account, you have 30 days to request a data export before Customer Data is deleted.

5.4 Compliance Responsibility

The compliance monitoring features of the Service are provided as informational tools only. You are solely responsible for ensuring that your carriers maintain valid operating authority, insurance, and all required FMCSA registrations. Logiq FM does not guarantee the accuracy of compliance alerts and is not liable for any regulatory violations or penalties arising from your use of or reliance on the Service's compliance features.

6. Third-Party Integrations

The Service integrates with third-party services including Samsara (GPS fleet tracking), MacroPoint (load tracking), and Stripe (payment processing). Your use of these integrations is subject to the respective third-party terms of service. Logiq FM is not responsible for the availability, accuracy, or performance of third-party services, and we do not guarantee uninterrupted access to any integration.

6.1 Operational SMS Communications

When a driver, carrier contact, or other recipient provides a mobile number and affirmatively agrees to receive text messages, LogiqFM LLC may send operational SMS or MMS communications through Laneworks relating to freight and dispatch services. These messages may include load assignments, pickup and delivery reminders, shipment status requests, appointment changes, document requests, settlement or payment notices, and replies from dispatch. Consent to receive text messages is not a condition of purchasing the Service.

Message frequency varies based on active loads and dispatch activity. Message and data rates may apply. Reply STOP to cancel future messages or HELP for help. You may also contact booking@logiqfm.com. Carriers are not liable for delayed or undelivered messages. Logiq FM does not send marketing or promotional text messages without separate consent.

7. Intellectual Property

The Service and all of its components, including software, algorithms, interface designs, databases, documentation, and trademarks, are the exclusive property of LogiqFM LLC and are protected by copyright, trademark, and other applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service. The Laneworks and Logiq FM names and logos are trademarks of LogiqFM LLC. You may not use our trademarks without our prior written consent.

8. Confidentiality

Each party may receive confidential information from the other in connection with the Service. Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information, and not to disclose such information to any third party without prior written consent, except as required by law.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LOGIQFM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

LOGIQFM MAKES NO WARRANTIES REGARDING THE ACCURACY OF FUEL PRICE DATA, RATE FORECASTS, IFTA CALCULATIONS, COMPLIANCE ALERTS, OR ANY OTHER INFORMATIONAL OUTPUT OF THE SERVICE. SUCH OUTPUTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS LEGAL, TAX, OR REGULATORY ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGIQFM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF LOGIQFM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LOGIQFM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO LOGIQFM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LogiqFM LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your relationship with any carrier, driver, broker, or other third party.

12. Term and Termination

These Terms are effective from the date you first access the Service and continue until your subscription is terminated. Either party may terminate your subscription immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 10 days of written notice. Logiq FM may also terminate your account immediately if you violate Section 4 (Acceptable Use) or if we reasonably believe your use poses a security risk or legal liability to us or other users.

Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 9, 10, 11, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted in Texas. You waive any right to participate in class action lawsuits or class-wide arbitration.

14. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Logiq FM regarding the Service.
Amendments. We may update these Terms at any time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. Logiq FM is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, or internet outages.
